Dear Coordinator! We ask you to carefully read the presented text of the public offer, in case of disagreement with any of its paragraphs, you can refuse to purchase the Goods or send us your comments and suggestions.

Public offer agreement

This agreement is addressed to individuals (hereinafter referred to as the “Coordinator”). The online service is provided by “Institute of Intellectual Technologies” LLP (hereinafter – the Seller). The Seller and the Coordinator have concluded this agreement (hereinafter referred to as the Agreement), as follows:

General Provisions
1.1 In accordance with article 395 of the Civil Code of the Republic of Kazakhstan (hereinafter referred to as the Civil Code of the Republic of Kazakhstan), this document is a public offer, and if the conditions set out below are accepted, the Coordinator who accepts this offer pays for the Seller’s Goods in accordance with the terms of this Agreement. In accordance with clause 3 of Article 396 of the Civil Code of the Republic of Kazakhstan, payment for the Goods by the Coordinator is an acceptance of the offer, which is considered equivalent to the conclusion of the Agreement on the terms set forth in the offer.

Terms and Definitions
2.1 Offer – a public offer of the Seller, addressed to any individual or legal entity, purchasing the Goods on the existing conditions contained in the Agreement, including all its annexes.

2.2 Seller – “Institute of Intellectual Technologies” LLP, which sells the Goods presented on the information resource www.iae.su

2.3 Coordinator – an individual who accepts the Offer from the Seller on the terms contained in the Agreement.

2.4 Acceptance – full and unconditional acceptance by the Coordinator of the terms of the Offer.

2.5 Goods – a list of names of electronic services presented on the information resource www.iae.su

2.6 Order – individual items from the assortment list of the Goods specified by the Coordinator when placing an order on the information resource www.iae.su

2.7 Information resource – a set of electronic documents (files) of the Seller available on the Internet at www.iae.su

2.8 Personal Account is a special section of the Information Resource that allows the Coordinator to access data on the status of the Order.

Subject of the contract
3.1 The Seller sells the Goods in accordance with the current price list published on the information resource of the Seller, and the Coordinator makes payment and accepts the Goods in accordance with the terms of this Offer.

3.2 This Agreement and all annexes thereto are official documents of the Seller and an integral part of the Offer.

Placing an Order
4.1 The order of the Goods is carried out by the Coordinator on the Information resource.

4.2 When registering (placing) the Order on the Seller’s Information resource, the Coordinator undertakes to provide registration information about himself.

4.3 Acceptance by the Coordinator of the terms of this Offer is carried out by entering the relevant data by the Coordinator into the registration form on the Information Resource. The coordinator has the right to edit the registration information about himself.

4.4 The Seller undertakes not to disclose the registration data of the Coordinator, as well as other information regarding the personal data of the Coordinator, to persons not related to the execution of the Order. Having approved the Order of the selected Product, the Coordinator provides the necessary information by filling in the information fields in the personal account.

4.5 The Coordinator is responsible for the content and accuracy of the information provided when placing the Order.

4.6 All information materials presented on the Information Resource are electronic services and are provided only through the Personal Accounts of the coordinators exclusively in electronic form. If the Coordinator has any questions regarding the properties and characteristics of the Goods, before placing the Order, he must seek advice or send a request to the Seller’s e-mail address – iae-paybox@iae.su

Terms of order execution
5.1 The period within which the Seller undertakes to fulfill the Order is from one working day. The execution time of the Order depends on the availability of the ordered items of the Goods at the Seller’s warehouse and the time required to process the Order. In exceptional cases, the deadline for the execution of the Order can be negotiated with the Coordinator individually, depending on the characteristics and quantity of the ordered Goods. In the absence of a part of the Order in the Seller’s warehouse, including for reasons beyond the control of the latter, the Seller has the right to cancel the specified Goods from the Coordinator’s Order. The Seller undertakes to notify the Coordinator about the change in the completeness of his Order by sending a message to the email address specified during registration on the Information Resource, or by additional written explanation on the sales receipt when the Coordinator directly receives the Order.

5.2 The order is considered completed at the time of the transfer of funds after its execution through the personal account of the Coordinator.

5.3 The cost and delivery conditions of the Order are specified by the Coordinator on the Seller’s Information resource.

5.4 If the Coordinator provides inaccurate information about his contact information or the composition of the Order, the Seller is not responsible for improper execution of the Order.

Order payment
6.1 Payment for the executed Order, at the option of the Coordinator, may be carried out:

6.1.1 by transferring funds to the Seller’s current account

6.1.2 by transferring funds by the Coordinator online through the electronic payment system by the following means of payment:

• payment cards (VISA, EuroCard / MasterCard)
• electronic cash (WebMoney, Yandex.Money, Qiwi, etc.).

6.2 By performing actions to connect the payment card binding service, the Coordinator confirms his consent:

• to store information by third parties,
• be solely responsible for the use of the payment card binding service
• bear all the risks associated with the possible use by third parties of a login, password, answer to a security question, card number, use of automatic authorization, including when sending a message received by e-mail, and other information.

6.3 When using the online payment service, the Coordinator immediately notifies the Seller about any case of unauthorized access to the personal data of the Coordinator, and about any violation/suspicions of a breach of confidentiality. For security purposes, it independently carries out the safe shutdown of the online payment service. The seller is not responsible for possible data loss and other possible consequences.

6.4 The price for each item of the Goods is displayed on the Information resource. In the event of a change in the price of the ordered items of the Goods, the Seller undertakes to inform the Coordinator of such a change as soon as possible. The coordinator has the right to confirm or cancel the Order. In the absence of communication with the Coordinator, the Order is canceled within 14 (fourteen) calendar days from its placement on the Information Resource.

6.5 Prices for any items of the Goods indicated on the Information resource may be changed by the Seller unilaterally without notifying the Coordinator.

6.6 The price for any item of the Goods displays only the cost of the Goods, excluding the cost of delivery and transport services.

6.7 Payment by the Coordinator of an independently placed Order on the Information Resource by any of the methods provided for in clause 6.1 of the Agreement means acceptance of the terms of the Offer. The day of payment for the Order is the date of the Offer Acceptance between the Seller and the Coordinator.

Return order
7.1 Electronic Goods and Virtual Services are non-refundable once purchased by the Coordinator.

7.2 The ownership of the Order, as well as the risk of damage to it, passes to the Coordinator from the moment the Goods are handed over to the Coordinator.

Registration on the Information resource
8.1 The Coordinator agrees that the use of the online service entails the passage of the registration procedure on the Information Resource, including in automatic mode, letters and messages, including those of an advertising nature, will be sent to his email address.

8.2 The Coordinator agrees that the Seller uses and processes his personal data.

8.3 The seller uses the information including:

to fulfill their obligations to the Coordinator
to register the Coordinator on the Information Resource
8.4 The Seller undertakes not to disclose the information received from the Coordinator. Not considered a violation:

• provision of information by the Seller to third parties acting on the basis of contracts and agreements with the Seller to fulfill obligations to the Coordinator
• providing information in accordance with reasonable and applicable legal requirements

8.5 The Seller has the right to use the “cookies” technology. “Cookies” do not contain confidential information and are not transferred to third parties. The seller receives information about the address of the website visitor. This information is not used to establish the identity of the Coordinator unless he suspects or has committed fraudulent actions.

8.6 The Coordinator is responsible for the accuracy of the personal data transferred to the Seller.

8.7 The Coordinator is responsible for unauthorized receipt of the password and access to his personal account by third parties and ensures the confidentiality of access data to the Personal Account. The Coordinator is responsible for all actions and consequences of using his Personal Account, including cases of unauthorized access, as well as voluntary transfer by the Coordinator of data for access to the Coordinator’s Personal Account to third parties. In this case, all actions within or using the Personal Account of the Coordinator are considered to have been performed by him.

Information messages
9.1 The Coordinator agrees to receive updated information, information messages with the latest news, new offers, special offers, and sales announcements, as well as information about news and offers from the Seller’s partners via SMS and e-mail.

9.2 The Coordinator can choose the mailing options or refuse.

9.3 The Coordinator agrees to record telephone conversations in order to improve the quality of service and confirm the Coordinator’s oral statements, save the Coordinator’s data solely for the convenience of subsequent purchases.

9.4 Prices in mailings and advertising are not public Offers.

Other conditions
10.9 The Coordinator hereby agrees with the mandatory terms of this Public Offer Agreement.

10.10 In accordance with the terms of this Public Offer Agreement, the Seller has the right to refuse to place an Order on persons who disagree with the terms of this Agreement.

10.11 The Seller reserves the right to amend this Agreement, in connection with which, the Coordinator undertakes to monitor changes on the Information Resource regularly.

10.12 All disputes and disagreements that may arise during the execution of this Agreement will be resolved by the parties through negotiations.

10.13 Compliance with the pre-trial (claim) procedure for resolving disputes arising under the Agreement is mandatory.

10.14 If it is impossible to resolve disputes through negotiations, the Parties shall resolve all disagreements in court at the location of the Seller.
